TSL Group shall provide Goods and Services (as defined below) in accordance with these Terms and Conditions. The following terms and conditions govern the return and warranty process for products and services provided by TSL Group.
In these Conditions, the following definitions apply:
The Customer shall place an Order for Goods or Services with TSL Group. The Order shall specify the type and quantity of Goods or Services ordered. The Customer is responsible for ensuring that the Order is complete and accurate. The Order placed constitutes an offer by the Customer to purchase Goods or Services from TSL Group, subject to these Conditions, which TSL Group may accept or decline at its discretion. The Contract shall be formed only when TSL Group sends an Order Confirmation to the Customer.
Warranty for Goods and Repaired Items
If a Good or Repaired Item does not comply with the warranty:
1. The Customer must notify TSL Group in writing within the Warranty Period.
2. TSL Group will examine the relevant Good or Repaired Item and, at its discretion, either repair or replace the defective item or refund the Price paid for the defective item.
Exclusions from Warranty
TSL Group will not be liable for failure of Goods or Repaired Items to comply with the warranty in the following cases:
* *Risk*: Risk of damage or loss of Goods passes to the Customer on delivery.
* *Title*: Legal and equitable ownership of the Goods remains with TSL Group until full payment is received for the Goods and any other items supplied to the Customer.
Returns Policy
TSL Group operates a returns policy for Goods ordered in error. This does not apply to items that are custom-ordered or not routinely stocked by TSL Group. If a Customer wishes to return Goods for reasons other than TSL Group's fault, TSL Group may, at its discretion, offer a refund of up to *75% of the Price* minus any costs incurred by TSL Group for delivery and return. Goods must be returned in a sellable condition with unopened packaging within *5 days* of receipt to qualify for a refund.
Termination and Suspension
TSL Group may terminate the Contract immediately if the Customer becomes subject to certain insolvency or financial instability events (e.g., bankruptcy, inability to pay debts, suspension of business operations). TSL Group may also suspend the provision of Goods and Services under the Contract if the Customer fails to meet payment terms or other obligations.
TSL Group’s total liability for any claims arising under or in connection with the Contract shall be limited to the Price paid by the Customer for the Goods and/or Services directly related to the claim.
TSL Group shall not be liable for:
Neither party shall be liable for failure or delay in performing obligations due to a Force Majeure Event, such as natural disasters, strikes, or governmental restrictions.
Data Privacy
Customer data will be processed in accordance with TSL Group’s Privacy Policy, which is available on our website.
Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Kuwait. Any disputes arising from the Contract will be subject to the exclusive jurisdiction of the courts of Kuwait.
